財政部指出，營利事業在未經核准登記前，取得的二聯式統一發票，可在辦妥營業登記後，申請退還進項稅額。

財政部規定，公司在未經核准登記前，不宜以籌備處名義按合夥辦理登記，公司組織營利事業在未經主管機關核准登記並賦予營利事業統一編號前，購買貨物或勞務，所取得的二聯式統一發票，已入帳者可在辦妥營業登記後，檢附公司申請設立登記實收資本額基準日經會計師查核簽證資產負債表影本，經查明進項貨物或勞務確實歸屬公司，即可退還進項稅額。

財政部說，除貨物或勞務外，固定資產的進項稅額，經查明確屬公司所有並使用，亦可退還其進項稅額。財政部提醒公司組織營業人，如有相同情形，可依規定辦理退稅。
