公司法是告訴乃論或公訴罪?
例如:
1.實收資本額不確實-要收1000萬作資本額，卻只收900萬
2.資本額登記完成後，退還股本
公司法第9條之一項明文:
公司應收之款項，股東並未實際繳納，而以申請文件表明收足，或股東雖已繳納而於登記後發還股東，或任由股東收回者，公司負責人各處五年以下有期徒刑、拘役或併科50萬以上-250萬以下罰金

這是要有人告才會成立嗎?
要有受害者嗎?
或者就算所有股東都同意，主管機關查覺就可以公訴?
